1.    The Agreement

1.1.    An agreement shall be deemed to be made under these Terms and Conditions ("Terms") set out herein between Wasserman and the person purchasing the Hospitality Package (the "Booking Client") when:

1.1.1.    the Booking Client completes the online purchase process on Wasserman's website (including providing all required information and payment details);
1.1.2.    the Booking Client confirms acceptance of these Terms during the checkout process;
1.1.3.    the Booking Client receives an order acknowledgement email from Wasserman confirming acceptance of the order;
1.1.4.    Wasserman has received cleared payment in full from the Booking Client; and
1.1.5.    has issued an invoice email to the Booking Client confirming receipt of such payment, which shall constitute the order confirmation.
Orders are subject to acceptance by Wasserman, and Wasserman reserves the right to refuse or cancel any order at its discretion prior to issuing the invoice email (e.g. where there are reasonable grounds to do so (including but not limited to suspected fraud, payment issues, unavailability of tickets, or technical errors). Both the Booking Client and its Guests shall act in compliance with, and be legally bound by, these Terms at all times and the Booking Client shall bring these Terms promptly to the attention of any such Guests for this purpose.

1.2.    These Terms apply to both consumer and business purchases. Where you are purchasing as a consumer, you have additional statutory rights that cannot be excluded, including under the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013. Nothing in these Terms affects those rights.

1.3.    These Terms incorporate: (i) any terms and conditions required by the Promoter and/or Venue (including any Event Specific Ticket Terms); and (ii) any other additional terms and conditions that may be included in an order acknowledgment or invoice email. All such additional terms (including Promoter, Venue, Event Specific Ticket terms) are available on request from Wasserman.

1.4.    In the event of any inconsistency between any such additional terms, the following order of precedence shall apply:

1.4.1.    Promoter’s terms and conditions (including any Event Specific Ticket Terms);
1.4.2.    Venue terms, conditions and ground rules;
1.4.3.    these Terms.

1.5.    All other terms and conditions which the Booking Client purports to apply, including, without limitation under (or which accompany or are referred to in) any purchase order, confirmation of order or any other document, are hereby expressly excluded.

1.6.    Any typographical, clerical or other error or omission in any sales literature, quotation, price list, acceptance of offer, invoice or other document or information issued by Wasserman shall be subject to correction without any liability on the part of Wasserman.

1.7.    Before submitting payment, the Booking Client will be provided with all information required under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, including the total price, delivery arrangements, and confirmation that the cancellation right does not apply (as set out in clause 4.7).

1.8.    If, after issuing an invoice email pursuant to clause 1.1.5, Wasserman discovers that the Hospitality Package or Tickets are not available due to circumstances beyond its reasonable control (including system errors, overbooking, or Promoter/Venue withdrawal of inventory), Wasserman may, within 2 working days of the invoice email, cancel the order by written notice to the Booking Client. In such circumstances:

1.8.1.    Wasserman will provide the Booking Client with a full refund of all monies paid (including any booking fees and delivery charges) within 14 days of the cancellation notice;
1.8.2.    Wasserman shall have no further liability to the Booking Client beyond the refund provided in clause 1.8.1, except where the Booking Client is a consumer and has suffered loss directly caused by Wasserman's negligence or breach of statutory duty; and
1.8.3.    Where reasonably possible, Wasserman will offer the Booking Client an alternative Hospitality Package of equivalent value, which the Booking Client may accept or decline at its sole discretion.

2.    Payment and Purchase of Hospitality Packages

2.1    The Hospitality Packages are subject to the addition of Value Added Tax and all other applicable taxes at the current rate (if applicable).

2.2    Payment in full (including all applicable taxes and charges) must be made at the time of purchase through the payment methods available on Wasserman's website. Orders will only be processed once cleared payment in full has been received by Wasserman from the Booking Client. If cleared payment authorisation fails, the order will not be completed and no order confirmation will be provided.

2.3    The total price payable (including all applicable taxes, booking fees, and delivery charges) will be displayed during the checkout process before the Booking Client submits payment. Payment is collected at the point of checkout, and a contract is only formed upon receipt of cleared payment in full and issuance of an invoice email in accordance with clause 1.1..

2.4    If cleared payment is reversed after a contract has been formed pursuant to clause 1.1 (including due to chargeback or fraudulent activity) (including due to chargeback, fraudulent activity, or insufficient funds), Wasserman reserves the right to immediately cancel the Hospitality Package(s) without notice. The Booking Client will not be entitled to any refund and Wasserman may resell the Hospitality Package(s).

2.5    If Wasserman cancels a Hospitality Package pursuant to clause 2.4 due to payment failure or fraud, no refund will be payable. The Booking Client remains liable for the full purchase price and any associated costs, fees, or charges incurred by Wasserman in recovering payment or dealing with the failed transaction.

2.6    Clauses 2.4 and 2.5 do not apply to consumer purchases. For consumers, if cleared payment is not received, no contract is formed and no liability arises.

2.7    Wasserman accepts payment by the methods displayed on the website at checkout. By providing payment details, the Booking Client warrants that they are authorised to use the payment method provided. All payment card information is processed securely through our payment service provider in accordance with industry standards.

2.8    Wasserman will use all reasonable endeavours to adhere to the advertised Hospitality Package, though any component part of the Hospitality Package including, but not limited to, timings, dates, prices and arrangements may be altered, omitted or amended by Wasserman at its sole discretion, and at any time due to circumstances beyond Wasserman’s control (for example, a Promoter, Venue or other third party supplier may alter the agreed service provision).

2.9    Should Wasserman materially alter, omit or amend the advertised package (pursuant to clause 2.8 of these Terms) so that such Hospitality Package is materially different from that advertised, the Booking Client shall be entitled to cancel the Hospitality Package. In such circumstances, the Booking Client shall accept a refund of the monies paid to Wasserman (less any applicable booking and/or administration fees, if any) as full and final settlement of the cancelled Hospitality Package. This clause shall not apply to any postponement or cancellation of any relevant Event.

2.10    If any amendment or change to a confirmed order requires additional payment, Wasserman will notify the Booking Client and payment of the additional amount must be made before the Tickets are issued. If payment is not received within 10 days of notification, Wasserman may cancel the order in accordance with clause 4.4.

2.11    The Booking Client acknowledges that the Promoter and/or Venue may set the Ticket pricing and that, in such circumstances, Wasserman has no control over the pricing of Tickets and that any description of the position of seats is that of the Promoter or the Venue. Wasserman, Venue and/or Promoter reserve the right to provide alternative seats at an Event to those specified on the Ticket if the staging of the Event reasonably requires, provided that they are of the same or greater value than stated on the Ticket.

2.12    The Booking Client acknowledges that Wasserman has no control over the Event and gives no warranty or representation that the Event shall take place on a specific date, specific time or that any other specific requirements shall be met including, if a sporting event, the identity of the players.

2.13    All Hospitality Packages offered are subject to availability.

2.14    Wasserman will not be responsible or obliged to replace any lost, stolen or damaged Tickets. The Booking Client acknowledges that (i) it is in the Venue or the Promoter’s discretion as to whether to issue duplicate Tickets; and (ii) Wasserman reserves the right to charge an administration fee (the cost of which may be outside of Wasserman’s control) for printing duplicate Tickets.

2.15    The Booking Client shall be responsible for (i) checking of all Tickets on delivery; and (ii) the onward delivery and/or distribution of Tickets to its Guests.

2.16    The price payable is the price displayed on the website at the time the order is completed. Wasserman reserves the right to correct pricing errors on its website at any time. If a pricing error is discovered after an order has been placed, Wasserman will notify the Booking Client and offer the option, at the Booking Client’s discretion, to either: (a) proceed with the order at the correct price; or (b) cancel the order and receive a full refund. For business purchasers only: If there is a price increase to the Hospitality Package (outside of Wasserman’s control, including currency fluctuations, changes in duties and taxes), Wasserman reserves the right to increase the price of the Hospitality Package commensurate to the price change to Wasserman. Wasserman shall provide written notice to the Booking Client of such price change and, if the Booking Client rationally deems such price increase unreasonable, the Booking Client shall be entitled to cancel the Hospitality Package, provided such cancellation is received in writing by Wasserman within 7 days of notification to the Booking Client of such price increase and, subject to the Promoter and/or Venue refunding the relevant Fees to Wasserman, the Booking Client may be entitled to a refund of the Fees. For consumer purchasers, except in the case of pricing errors, the price cannot be increased after payment has been made, except for changes in the VAT rate or other taxes imposed by law, in which case the consumer may cancel and receive a full refund.

3    Delivery of Tickets

3.1    Tickets will only be issued to the Booking Client, on receipt by Wasserman of all Fees, charges and costs in cleared funds from the Booking Client for each Hospitality Package purchased by the Booking Client.

3.2    Wasserman will endeavour to send the Tickets and information about the Event, to the Booking Client no later than 1 week prior to the Event. However, any timings are approximate and Wasserman shall not be obliged to comply with such timings. Time for delivery is not of the essence and any quoted delivery dates are approximate and for guidance only (this means the deadlines set out in this clause are target deadlines and there shall be no consequence if Wasserman does not meet the target deadlines).

3.3    Wasserman shall not be liable for any delay in delivery of the Tickets however caused. Provided that, nothing in this clause affects your statutory rights if you are a consumer, including your right to cancel and receive a refund for significantly delayed delivery under the Consumer Rights Act 2015.

3.4    Delivery of the Tickets shall be deemed to be made the earlier of (i) collection of the Tickets by the Booking Client from Wasserman; or (ii) delivery of the Tickets by Wasserman to a third party carrier for delivery to the Booking Client.

3.5    Any applicable delivery charges will be displayed during the checkout process and included in the total price before payment.

3.6    Due to proximity of the Event or for any other reason at Wasserman’s option, Tickets may be collected by the Booking Client at a Venue box office and the Booking Client will be notified using the contact details provided during “checkout" or "order confirmation”.

4    Cancellation

4.1    Subject to clauses 4.2 and 4.3, Wasserman shall not be liable to give any refund in the event of the Event being cancelled or postponed.

4.2    If an Event is postponed, provided that (i) the rescheduled event takes place at the same Venue; and/or (ii) with materially the same configuration; and (iii) the Venue and/or Promoter declare that the Hospitality Packages shall be valid for the rescheduled event, the Booking Client’s Hospitality Package shall be valid for the rescheduled event and no refunds of Fees shall be payable by Wasserman. Provided that, nothing in this clause 4.2 excludes or limits the statutory rights of a Booking Client purchasing as a consumer. Where a consumer Booking Client is unable to attend the alternative date of the postponed Event, Wasserman will provide a refund in full within 14 days of notification from the consumer Booking Client that they cannot attend the rescheduled Event.

4.3    If for any reason the Event is postponed, cancelled or abandoned (whether wholly or in part and whether or not due to Force Majeure Event), the following shall apply:

4.3.1    Complete cancellation before any element of the Hospitality Package has been delivered: Where the Event is cancelled or abandoned before any part of the Hospitality Package has been provided or consumed (including food, beverages, or access to hospitality facilities), any refund of Fees shall be limited to the amounts actually received by Wasserman from the applicable Venue and/or Promoter. For consumer purchases, Wasserman will provide a refund in full of the monies paid to Wasserman (minus any booking fees, administration fees or delivery fees, if any) within 14 days of cancellation.

4.3.2    Partial abandonment where the hospitality element has been delivered: Where the hospitality element of the Hospitality Package has been delivered (including where food, beverages or hospitality facilities have been made available to and used by the Booking Client and/or its Guests), but the Event itself is subsequently abandoned, cancelled or curtailed (for example, due to adverse weather), no refund shall be payable in respect of the delivered hospitality element. Any refund in respect of the admission/ticket element only shall be limited to amounts actually received by Wasserman from the applicable Venue and/or Promoter, which Wasserman shall pass on to the Booking Client within 14 days of receipt.

4.3.3    Nothing in this clause 4.3 excludes or limits the statutory rights of a Booking Client purchasing as a consumer. Where an Event is wholly cancelled before any element of the Hospitality Package has been delivered, a consumer Booking Client will be entitled to a full refund of all Fees paid. Where the Hospitality Package has been only partially delivered, any refund shall reflect the undelivered portion only (i.e. the Booking Client will receive a full refund in respect of the admission/ticket element only (minus any booking fees, administration fees or delivery fees, if any), in accordance with the Consumer Rights Act 2015.

4.3.4    It is recommended that the Booking Client takes out its own insurance to cover such risks.

4.4    Wasserman may cancel an Agreement, including any Hospitality Package if:

4.4.1    the Booking Client is in material breach of the Agreement (including any late payment) and the breach, if capable of remedy, has not been remedied within the time required, as specified by Wasserman; or
4.4.2    the Booking Client (being a business purchaser): (i) is unable to pay its debts as they fall due; (ii) passes a resolution for winding up (other than for the purposes of a solvent amalgamation or reconstruction) or if a court of competent jurisdiction makes an order to that effect; (iii) enters into a composition or scheme of arrangement with its creditors or if a receiver, manager, administrator or administrative receiver is appointed over any of its assets; (iv) ceases or threatens to cease to do business; or (v) an analogous event occurs to the other party in any jurisdiction.

4.5    Cancellation pursuant to clause 4.4 shall (i) not entitle the Booking Client to any refund (in whole or part); and (ii) if any portion of the Fees have not been paid, these shall become immediately due and payable in full by the Booking Client.

4.6    For the avoidance of doubt, cancellation of any Ticket shall automatically cancel any Hospitality Package related to that Ticket and any refund (if any) shall only be paid in accordance with these Terms.

4.7    Booking Clients do not have a statutory right to cancel Hospitality Packages under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. This is because Hospitality Packages are services related to leisure activities that are provided on a specific date. Cancellations are subject to the terms set out in this clause 4. This is confirmed to Booking Clients during the online purchase process, before the final purchase decision is made.

4.8    Where the Hospitality Package is sold under a consumer transaction (as defined by the Consumer Protection from Unfair Trading Regulations 2008) the statutory rights of the Booking Client are not affected by these Terms.

5    Warranties

5.1    The Booking Client warrants and undertakes to Wasserman that:

6    Limitation of Liability

The following provisions are applicable to consumer purchasers only:
6.1    Nothing in these Terms is intended to exclude or limit any statutory rights Booking Clients may have as a consumer under applicable law.

6.2    Wasserman is not responsible for losses suffered by Booking Clients caused by Wasserman breaking these terms and conditions if the loss is:

6.2.1    not obvious that it would happen and nothing a Booking Client said to Wasserman before Wasserman accepted the order meant Wasserman should have expected it (so, in the law, the loss was unforeseeable).
6.2.2    outside Wasserman’s reasonable control; or
6.2.3    something the Booking Client could have avoided by taking reasonable action. For example, failing to cancel any separate transport or accommodation bookings during the respective free cancellation windows where Wasserman advise of any change to a Ticket or an Event.

6.6    Subject to clause 6.4 and 6.5, Wasserman’s total liability to the Booking Client shall not exceed the total payment made by the Booking Client up to the point at which the liability was incurred.  This limitation does not apply to liability which cannot be excluded or limited by law, including liability for: (i) death or personal injury caused by negligence; or (ii) fraud or fraudulent misrepresentation.

The following provisions are applicable to both consumer and business purchasers:
6.7    The Booking Client acknowledges that it is responsible for any Guests of the Booking Client and Wasserman shall not assume any liability for any loss, injury (including death) or damage (i) caused by the Guests or (ii) to the Guests or their property unless the same arises as a result of Wasserman’s negligence.

6.8    No liability is accepted by Wasserman in the event that the Booking Client and/or any Guest is denied entry to, or ejected  from, any part of the Venue or hospitality facilities within the vicinity of the Venue as a result of the Booking Client’s or any Guest’s failure to comply with the terms of this Agreement or any Promoter, Venue or Event Specific Ticket Terms.

6.9    The Booking Client shall be responsible for and reimburse Wasserman for any loss, damage, costs and expenses that the Booking Client or its Guests cause, whether within the hospitality facilities or elsewhere within the Venue.
